Western Digital to Acquire Hitachi Global Storage Technologies

Combination of Hard Drive Companies Will Create Industry’s Broadest Product Portfolio and a Significant Pool of Resources for Innovation

IRVINE, Calif. and SAN JOSE, Calif., March 7, 2011 /PRNewswire-FirstCall/ — Western Digital (NYSE: WDC) and Hitachi, Ltd. (NYSE: HIT / TSE:6501) announced today that they have entered into a definitive agreement whereby WD will acquire Hitachi Global Storage Technologies (Hitachi GST), a wholly-owned subsidiary of Hitachi, Ltd., in a cash and stock transaction valued at approximately $4.3 billion. The proposed combination will result in a customer-focused storage company, with significant operating scale, strong global talent and the industry’s broadest product lineup backed by a rich technology portfolio.

Under the terms of the agreement, WD will acquire Hitachi GST for $3.5 billion in cash and 25 million WD common shares valued at $750 million, based on a WD closing stock price of $30.01 as of March 4, 2011. Hitachi, Ltd. will own approximately ten percent of Western Digital shares outstanding after issuance of the shares and two representatives of Hitachi will be added to the WD board of directors at closing. The transaction has been approved by the board of directors of each company and is expected to close during the third calendar quarter of 2011, subject to customary closing conditions, including regulatory approvals. WD plans to fund the transaction with a combination of existing cash and total debt of approximately $2.5 billion.

WD expects the transaction to be immediately accretive to its earnings per share on a non-GAAP basis, excluding acquisition-related expenses, restructuring charges and amortization of intangibles.

The resulting company will retain the Western Digital name and remain headquartered in Irvine, California. John Coyne will remain chief executive officer of WD, Tim Leyden chief operating officer and Wolfgang Nickl chief financial officer. Steve Milligan, president and chief executive officer of Hitachi GST, will join WD at closing as president, reporting to John Coyne.

“The acquisition of Hitachi GST is a unique opportunity for WD to create further value for our customers, stockholders, employees, suppliers and the communities in which we operate,” said John Coyne, president and chief executive officer of WD. “We believe this step will result in several key benefits-enhanced R&D capabilities, innovation and expansion of a rich product portfolio, comprehensive market coverage and scale that will enhance our cost structure and ability to compete in a dynamic marketplace. The skills and contributions of both workforces were key considerations in assessing this compelling opportunity. We will be relying on the proven integration capabilities of both companies to assure the ongoing satisfaction of our customers and to bring this combination to successful fruition.”

“This brings together two industry leaders with consistent track records of strong execution and industry outperformance,” said Steve Milligan, president and chief executive officer, Hitachi Global Storage Technologies. “Together we can provide customers worldwide with the industry’s most compelling and diverse set of products and services, from innovative personal storage to solid state drives for the enterprise.”

Hiroaki Nakanishi, president, Hitachi, Ltd. said, “As the former CEO of Hitachi GST, I always believed in the potential of Hitachi GST to become a larger and more agile company. This is a strategic combination of two industry leaders, both growing and profitable. It provides an opportunity for the new company to increase customer and shareholder value and expand into new markets. Additionally, it is important to us that WD shares common values with Hitachi GST to create a more global company that is well positioned to define a broader role in the evolving storage industry.”

WD’s exclusive financial adviser on the transaction is Bank of America Merrill Lynch; its lead legal adviser is O’Melveny & Myers LLP. • Your Desktop Supercomputer: Coming Soon

    Your Desktop Supercomputer: Coming Soon

Scientists at the University of Massachusetts Lowell have managed to squeeze over a thousand processor cores onto a single chip. We’ve heard a lot about the potential for future desktop-sized supercomputers, but more than anything else this research proves that in the not-too-distant future it’s likely to be a reality. Interestingly enough, there’s also a green angle to this idea: FPGA chips can be more power efficient than their competitors, and if less computer time is needed to process complex tasks, then the overall power consumption of computers using the tech could be impressively low.

The advance was made by Dr. Wim Vanderbauwhede’s team, who programmed an advanced chip called a Field Programmable Gate Array (FPGA). FPGA systems have been around for a while, and their strength is that they can be programmed “in the field” to best suit whatever task they’re needed for, unlike the hard-coded silicon ship designs you’re probably imagining. The UM team’s innovation was in working out how to program the FPGA to act as mini processor cores, since the tech is typically difficult to work with. This has traditionally been a barrier to their use in desktop PCs, although small FPGAs are often found inside devices like LCD TVs.

Once the 1,000 individual CPU cores had been programmed onto the chip, the scientists took the necessary next step to prove how useful their innovation is: They ran an intensive algorithm through it to test how powerful it was, and they chose a tricky one too–at the core of motion MPEG video processing, used in many online video systems. The results speak for themselves. Using the kilo-core FPGA computer, the team was able to process 5 gigabytes per sec of movie files, which is about 20 times the rate that existing high-end computers can manage.

It also looks like HP is dropping Palm from the picture as it does not even mention it for the Feb WebOS event, where this tablet might be introduced. HP’s already invested heavily in branding its laptop trackpads with the ClickPad name.

HP could possibly be looking to hedge its bets by getting into the Android game as well, or it may be pushing out a consumer-oriented version of the Slate.

IBM Partners with ARM to deliver next level of Mobile processors

IBM and ARM have been known to team up before, but this week both companies announced a new joint initiative to develop chips measuring 14nm. That is considerably smaller compared to the current gen 20nm chipsets. This means that in the upcoming generation, the processors will be faster smaller, yet more power efficient. Read the press release below,

IBM and ARM to Collaborate on Advanced Semiconductor Technology for Mobile Electronics

SANTA CLARA, CA – 17 Jan 2011: ARM® [(LSE: ARM); (Nasdaq: ARMH)] and IBM (NYSE: IBM) today announced an agreement between the two companies to extend their collaboration on advanced semiconductor technologies to enable the rapid development of next generation mobile products optimized for performance and power efficiency. The resulting technology will provide a suite of optimized physical and processor IP by ARM tuned to IBM’s advance manufacturing process down to 14nm; providing streamlined development and earlier introduction of advanced consumer electronics into the marketplace.

As the consumer’s requirements increase for high end features on mobile devices including; extended battery life, uninterrupted internet access, high end multimedia and secure transactions the chip design becomes increasingly more challenging. Designers must consider nanometer scale effects in terms of lithography, variability, and so on while simultaneously meeting performance, power and area (PPA) targets across hundreds of millions of transistors. This increased complexity potentially results in additional in-house design time.

Through this agreement ARM and IBM will collaboratively develop design platforms aligning the manufacturing process, microprocessor and physical IP design teams. This collaboration will minimize the risk and barriers to migrating to smaller geometries while enabling optimized density, performance, power and yield in advanced SoC designs; accelerating the introduction of advanced electronics into the marketplace.

“ARM’s Cortex processors have become the leadership platform for the majority of smart phones and many other emerging mobile devices,” said Michael Cadigan, general manager, IBM Microelectronics. “We plan to continue working closely with ARM and our foundry customers to speed the momentum of ARM technology by delivering highly advanced, low-power semiconductor technology for a variety of new communications and computing devices”

“IBM has a proven track record of delivering the core research and development that is relied upon by major semiconductor vendors worldwide for their advanced semiconductor devices. Their leadership of the ISDA alliance, which features a diverse set of top-tier companies as members, is growing in importance as consolidation trends in the semiconductor manufacturing industry continue” said Simon Segars, EVP and general manager, ARM physical IP division. “This agreement will ensure we are able to deliver highly tuned ARM Artisan Physical IP solutions on advanced ISDA process technologies to meet the early time-to-market our customers demand.”

Past collaboration with IBM and ARM on advanced geometries have been underway since 2008, resulting in the implementation of extensive process and physical IP refinements to improve SoC density, routability, manufacturability, power consumption, and performance. Moreover, through the previous collaboration on the 32nm and 28nm ARM has already delivered eleven test chips that provide concrete research structures and early silicon validation. In addition, ARM has developed specific optimizations targeting ARM processor cores including most recently a complete ARM Cortex-A9 processor core implemented on 32nm High-K Metal Gate technology.

Today’s agreement reinforces the aligned co-development of semiconductor process, foundation Physical IP building blocks, and microprocessor core optimization necessary to achieve market-leading system-on-chip (SoC) solutions. Furthermore, it extend access for ARM to continue this systematic test chip roadmap and assure early time-to-market readiness of the necessary platform of physical and processor IP solutions for nodes ranging from 20nm through 14nm.

    iOS 4.3 beta 2 released : iPad 2 to have a proximity sensor ?

A the picture above shows, the iOS 4.3 Beta 2 was released. Folks digging around in the developer files found that the iPad 2 will have a proximity sensor which might lock and unlock the device when its put in , or removed (respectively) from the cover.

This refuels the no home button rumors we heard about. Please Apple, don’t remove that home button.

A slight sigh of relief is shown by the fact that apple claims that multitasking functions are a test and will not be available in the final build of iOS 4.3 . This would definitely mean that the Home button still exists. It does, it doesn’t , we wont know until it’s finally released.
